General Terms & Conditions

These General Terms & Conditions ("Terms") govern access to and use of the AI voice receptionist service provided at phone-assistant.ai ("the Service"), operated by Tuva Euro B.V. ("we", "us", "Provider"). By requesting a demo, signing up for, or using the Service, you ("Customer") agree to these Terms.

1. The Service

phone-assistant.ai provides an AI-based voice receptionist that answers, understands, and responds to incoming phone calls on behalf of the Customer's business, including tasks such as taking reservations, answering questions, and logging call summaries. The exact scope of features is set out in the applicable order form, quote, or plan description.

2. Demo and onboarding

Where Customer requests a demo, Customer agrees to provide accurate business information (such as menu, hours, and listing details) so that Provider can configure a representative demonstration. A demo does not itself constitute a binding subscription to the Service.

Where the Service processes personal data of Customer's callers, Provider acts as a data processor and Customer acts as data controller. Processing is governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement available on request.

6. Service availability

Provider will use reasonable efforts to keep the Service available and performing reliably, but does not guarantee uninterrupted or error-free operation. Planned maintenance will, where possible, be communicated in advance. Specific uptime commitments, if any, are set out in the applicable order form.

Provider retains all rights, title, and interest in the Service, including all underlying software, models, and technology. Customer retains ownership of its own business data and content provided to configure the Service. Customer grants Provider a licence to use that data solely to provide and improve the Service for Customer.

9. Warranties and disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Provider disclaims all implied warranties, including fitness for a particular purpose. AI-generated responses may occasionally be inaccurate; Customer remains responsible for reviewing critical outputs (such as reservation details) where accuracy is important to its business.

10. Limitation of liability

To the extent permitted by law, Provider's total liability arising from or related to the Service shall not exceed the fees paid by Customer in the 3 months preceding the event giving rise to the claim. Provider shall not be liable for indirect, incidental, or consequential damages, including lost profits or lost bookings, except in cases of intent or gross negligence.

11. Indemnification

Customer agrees to indemnify Provider against claims arising from Customer's unlawful use of the Service or breach of these Terms, including claims relating to the accuracy of information Customer provided for the Service to use.

12. Changes to these Terms

Provider may update these Terms from time to time. Material changes will be communicated to active customers with reasonable notice before taking effect.

13. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent court of the district in which Tuva Euro B.V. is registered, unless mandatory law provides otherwise.
